1. Agreement

These Terms & Conditions (“Agreement”) govern all services provided by Conversion Lab LLC (“Conversion Lab LLC,” “Company,” “we,” “us,” or “our”). By engaging our services, you (“Client”) agree to these terms.

2. Services

Conversion Lab LLC provides marketing and acquisition system services, including but not limited to:

  • Paid advertising management (Meta, Google, etc.)

  • Funnel and landing page development

  • CRM setup and automation

  • Appointment booking systems

  • AI receptionist workflows

  • Analytics tracking and reporting

Specific deliverables are outlined in the applicable proposal, invoice, or written service agreement.

3. Fees & Payment

  • Services are billed monthly unless otherwise agreed in writing.

  • Payment is due in advance of each billing cycle.

  • Advertising spend is separate and paid directly by Client to the respective advertising platform.

  • All fees paid to Conversion Lab LLC are non-refundable.

  • Failure to pay may result in immediate suspension or termination of services.

4. No Guarantees

Client acknowledges that marketing outcomes depend on multiple factors including market conditions, competition, pricing, offer strength, and operational execution.

Conversion Lab LLC does not guarantee specific revenue, lead volume, return on ad spend, or business outcomes.

5. Client Responsibilities

Client agrees to:

  • Provide timely access to necessary accounts, platforms, and assets

  • Maintain accurate billing and business information

  • Operate their business in compliance with applicable laws

Conversion Lab LLC is not responsible for internal sales processes, staffing performance, operational inefficiencies, or fulfillment issues that affect results.

6. Advertising Platforms

Conversion Lab LLC is not affiliated with Meta, Google, or any third-party advertising platform.

Platform policies, algorithms, and costs may change at any time and may impact campaign performance. All advertising accounts remain the property of the Client.

7. Intellectual Property

All systems, funnels, automation structures, copy, creative materials, and proprietary processes developed by Conversion Lab LLC remain the intellectual property of Conversion Lab LLC unless otherwise agreed in writing.

Upon full payment, Client is granted a limited, non-exclusive license to use deliverables solely for their business operations.

Conversion Lab LLC reserves the right to use anonymized performance data and creative examples for marketing and portfolio purposes.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary or sensitive information shared during the engagement.

9. Limitation of Liability

Conversion Lab LLC shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of revenue, profits, or business opportunities

  • Platform outages, policy changes, or third-party service disruptions

Total liability of Conversion Lab LLC shall not exceed the amount paid by Client in the thirty (30) days preceding any claim.

10. Termination

Either party may terminate services in accordance with the agreed billing cycle or written service agreement.

No refunds will be issued for partial billing periods.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona.

Any disputes arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in Arizona. Both parties consent to the jurisdiction of such courts.

12. Updates

Conversion Lab LLC reserves the right to update these Terms at any time. Continued use of services after updates constitutes acceptance of the revised Terms.
